COMPROMISE

SO THE PUBLIC MAY KNOW:

This agreement executed between:

BERNARDO SALES, Filipino, of legal age, married, and


residing at 3 Sunflower Street, Bloomfields Subdivision, Fairview,
Quezon City;

-and-

SEIZE TOMORROW CORPORATION a corporation duly


organized and existing under Philippine laws with principal office
located at 7/F Passionate Building, Tuazon Avenue, Pasig City,
represented by its President, JUAN DELA CRUZ, duly authorized for
this purpose, as shown by the attached authority;

Antecedents

Bernardo filed a complaint against Seize Tomorrow


Corporation and numbers of its officers before the Arbitration Branch
of National Labor Relations Commission, Regional Office IV located
in Calamba City, Laguna docketed as NLRC Case RAIV 82345-07 for
a number of issues arising from the last company action against him.

Later, the Commission referred the parties to mediation


pursuant to existing rules. After several discussions and negotiations
through the parties chosen mediator, they have jointly and amicably
settled their differences subject to certain conditions.

Accordingly, for and in consideration of the foregoing


premises, the parties agree as follows:

A. Seize Tomorrow Corporation Obligations:

1. To pay Bernardo the sum of Php500,000.00 cash upon execution of


this compromise on 21 January 2017.

B. Bernardos Obligations:

1. To receive the amount stated in item A above.

2. Commitment not to do any act prejudicial to the interest of the


corporation, its branches, or its projects arising from or with respect
to his previous employment and his outright execution of a quitclaim
against the same company and officers.

C. Common Obligations:

1. The parties further agree to forever waive all other claims and
counterclaims against each other in the form of damages, attorney's
fees and costs of suit.
