Date: 16th March 2020.

Sub.: Intimation of invocation/application of Force Majeure events clause in view of spread of novel
coronavirus (“COVID – 19”) across India.
Ref.: Lease Deed/Leave & License/MOU/LOI executed/registered between Reliance Digital Platform &
Project Services Limited with you in this respect of (“Demised Premises/Licensed Premises”).

1. As you are aware that, following the rapid outbreak of respiratory illness caused by a novel coronavirus (“COVID – 19”)
that was first reported in Wuhan, China at the end of 2019, the World Health Organization (WHO) declared COVID -19
a “Public health emergency of international concern” (PHEIC) i.e. to be a pandemic on March 11, 2020.
2. Since, the COVID-19 has also affected the India as a whole, the office of the Deputy Secretary, Government of India,
Ministry of Finance, by its direction/letter dated 19th January 2020 has clarified about the applicability of Force
Majeure Clause in view of para 9.7.7 of the “Manual for Procurement of Goods, 2017”. In the very same letter the
government has categorically clarified that the disruption of services due to spread of COVID-19 should be considered
as a case of natural calamity (Copy Attached).
3. Further, in a drastic step to curb the spread of coronavirus, the office of the Principal Secretary, Government of State
has by its circular has directed all the Hon’ble Collectors of the State, Municipal Commissioners, Police Commissioners
and the CEO’s of the State, the closure of cinema halls, gyms, swimming pools and malls in the State from 14th March
2020 midnight till 15th April 2020.
4. Our Force Majeure clause in the agreement is crystal clear and we are hereby invoking the said clause as per the
circular issued/directions passed by the Central Government of India and the State Government due to the following
reasons: -
a. the outburst of COVID-19 is beyond our reasonable control;
b. in view of government circular/directions/orders including mandatory quarantines, travel restrictions, supply chain
delays, employee absences, fear related to the novel virus, and compulsory shut down of Mall, our stores, we are
unable to perform our obligations under the contract and have been prevented, impeded or hindered by the
event;
5. As the global spread of COVID-19 continues, we are experiencing impact on a business which leads to disruptions to
the normal course of business and there is no alternative remedy available to mitigate the events and it becomes
physically or commercially impossible to fulfill the contract to both of us.
In view of this notice, we hereby inform you that all our contractual obligations including payment of lease rent/license
fee/cam charges/amenities charges and utilities charges shall stand suspended with effect from 16th March 2020 till
commencement of our business from the Demised Premises/Licensed Premises.
