APPOINTMENT LETTER

(Issued by BISHT TECHNOLOGIES PRIVATE LIMITED)

Date: 05th February 2024

PERSONAL AND CONFIDENTIAL

Dear Sanket,

This letter will memorialize the terms of your employment with DIPLOY as Laravel Developer. Your em-
ployment is contingent on your ability to furnish employment eligibility documentation as required by law.
We look forward to your joining us and helping us grow the Company's business.

The terms of your employment are as follows:

Start Date: 05th February 2024

1. Remuneration: Your starting total remuneration will be Rs.30,000 per month (in hand) subject
to the tax deduction. Details mentioned in Schedule 1.

2. Probation: Your employment shall be on probation for an initial period of 6 months from the date
of joining. The company may increase or decrease your probation period considering your
performance and commitment during this period.

3. Work Location: You are required to join the company’s office location assigned to you by your
reporting manager.

4. Provident Fund: You will participate in the Provident Fund (PF) Scheme as applicable to your
category of employees. Until the company reaches an employment strength of 20, we may not be
able to obtain PF registration. Accordingly, your contribution and the company contribution will be
paid to you as allowance instead of PF until the date of registration and will form part of your
salary discussed directly above.

5. Leave and Working Hours: Company will covey the leaves and working hours policy from time
to time via registered company email.

6. Past Records: This letter of appointment is based on the information furnished in your
application for employment and during the interviews you had with us. If any declaration given, or
information furnished by you, to the company proves to be false, or if you are found to have
willfully suppressed any material information, in such cases, you will be liable to removal from
services without any notice.

7. Transfer & Relocation: You will be liable to transfer in such capacity as the company may from
time to time determine to any other location, department, establishment, factory or branch of the
company or its affiliate, associate or subsidiary companies. In such case, you will be governed by
the terms and conditions of service applicable to the new assignment.

8. Termination of employment: During the probationary period and any extension thereof, your
services may be terminated without giving any notice or salary in lieu thereof. However, on
confirmation the services can be terminated from either side by giving two-months (60 days)
notice or salary in lieu thereof.

Upon resignation/termination of employment, you will immediately hand over to the Company all
correspondence, specifications, formulae, books, documents, market data, cost data, drawings,
affects or records belonging to the Company or relating to its business and shall not retain or
make copies of these items.

Upon resignation/termination of employment, you will also return all company property, which
may be in your possession.

Notwithstanding the above condition, the contract of service may also be terminated because of
under mentioned stipulations. This will be without payment of any compensation.

 If you fail, refuse or neglect to carry out and perform your duties assigned to you by the
company. For loss of confidence in you by the company for any of the act committed by
you.
 If you are found to be guilty of fraud, insubordination or misconduct whether in course of
performance of duties entrusted to you or otherwise.
 If you are found unfit for being entrusted with the responsible work commensurate with
your position in consequences of any misconduct, moral turpitude.
 If you commit any act prejudicial to the continuing good relationship between you and the
company.
 If you commit breach of any of the terms of this letter of appointment.
 If you fail to use work monitoring tool for consecutive 5 days in any month.

9. Non–Compete: You agree that during the term of your employment and for further period of 12
(twelve) calendar months after separation from the Company, for whatever reasons, you shall not
carry on or engage directly or indirectly in any business with the clients associated with the
company, whether in India or overseas, at the relevant point of time or proposed to be pursued by
the Company in the immediate future, in respect of which proposal you were aware of or likely to
be aware of considering the nature of your duties (Restricted Business), other than through the
Company.

10. Exclusive Rights: You agree that during the term of your employment whatever inventions,
creations or work, done by you shall remain with the company and the company shall have
exclusive rights over it. You cannot copy, take, or share any such work with any other party
during or after your employment.

11. Confidential Information

11.1 During your employment with the Company, you will devote your whole time, attention and
skill to the best of your ability for its business. You shall not, directly or indirectly, engage or
associate yourself with, be connected with, concerned, employed or engaged in any other
business or activities or any other post or work part time or pursue any course of study
whatsoever, without the prior permission of the Company.

11.2 You must always maintain the highest degree of confidentiality and keep as confidential the
records, documents and other Confidential Information relating to the business of the
Company which may be known to you or confided in you by any means and you will use
such records, documents and information only in a duly authorized manner in the interest of
the Company. For the purposes of this clause ‘Confidential Information’ means information
about the Company’s business and that of its customers which is not available to the general
public and which may be learnt by you in the course of your employment. This includes, but
is not limited to, information relating to the organization, its customer lists, employment
policies, personnel, and information about the Company’s products, processes including
ideas, concepts, projections, technology, manuals, drawing, designs, specifications, and all

papers, resumes, records and other documents containing such Confidential Information.

11.3 At no time, will you remove any Confidential Information from the office without permission.

11.4 Your duty to safeguard and not disclose Confidential Information will survive the expiration
or termination of this Agreement and/or your employment with the Company.

11.5 Breach of the conditions of this clause will render you liable to summary dismissal under
clause above in addition to any other remedy the Company may have against you in law.

12. Governing Law/Jurisdiction: Your employment with the Company is subject to Indian laws. All
disputes shall be subject to the jurisdiction of Uttar Pradesh only.

Please confirm that this letter sets forth the terms of your employment with the Company by
countersigning a copy of this letter below. Your signature below indicates that you fully understand the
terms of your employment with the Company and that you enter this Agreement knowingly and of your
own accord.
